Terms of Service

These Terms of Service ("Terms") govern your access to and use of Documatch, Inc.'s websites, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Documatch provides AI-assisted document editing, import/export, version history, and collaboration features for professional users. We may modify or discontinue features with reasonable notice where practicable.

2. Accounts

You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account. Notify us promptly of unauthorized access.

3. Your content

You retain ownership of documents and content you upload. You grant Documatch a limited license to host, process, and display your content solely to provide and improve the Service, including sending content to AI providers when you request edits.

You represent that you have the rights to upload content and that your use complies with applicable law and professional obligations.

4. Acceptable use

You agree not to:

• Violate law or third-party rights;
• Upload malware or attempt to disrupt the Service;
• Reverse engineer the Service except where permitted by law;
• Use the Service to generate unlawful, harmful, or deceptive content;
• Share account access outside your licensed seats (Team plans).

5. AI outputs

AI-generated suggestions may be inaccurate or incomplete. You are solely responsible for reviewing, accepting, and using outputs before sharing documents with clients or counterparties. Documatch does not provide legal, financial, or other professional advice.

6. Subscriptions & payment

Paid plans renew automatically unless cancelled. Fees are non-refundable except where required by law or stated in your order. We may change pricing with advance notice to existing subscribers.

7. Confidentiality & security

We implement administrative, technical, and organizational measures described in our Privacy Policy. Enterprise customers may request a Data Processing Addendum.

8. Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCUMATCH AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. Upon termination, your right to use the Service ends; export provisions survive as needed to retrieve your content.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.
